By accessing or using MoodTrace (the "Service"), you agree to be bound by these Terms. If you do not agree to these terms, please do not use the Service.
MoodTrace provides, or is developing, the following software and services, as identified in U.S. trademark application Serial No. 99892895 (MOODTRACE):
Downloadable medical software for enabling patients to self-track and document behavioral health and mental health symptoms including mood, anxiety, affect, side effects of prescribed medications, sleep, and medication adherence; downloadable medical software for use by licensed healthcare providers and clinical care teams for tracking and documenting behavioral health and mental health symptoms and side effects of prescribed medications, recording self-reported and consumer-device-sourced health data; downloadable medical software for supporting documentation of clinician care management time and attestation workflow for billable care management services in behavioral health and integrated primary care settings.
Business data analysis services in the field of behavioral health, mental health, and wellness; business services provided to the healthcare industry, namely, the collection, reporting, and analysis of healthcare quality data for business purposes; business research and data analysis services in the field of behavioral health, mental health, and wellness; consulting services in the field of patient relationship management for healthcare providers.
Software as a service (SAAS) services featuring software for enabling patients to self-track and document behavioral health and mental health symptoms including mood, anxiety, affect, side effects of prescribed medications, sleep, and medication adherence; software as a service (SAAS) services featuring software for licensed healthcare providers and clinical care teams to track and analyze patient-reported and device-sourced behavioral health and medication-response data and to support clinical decision-making, treatment planning, and care management documentation, time tracking, and attestation workflow; data automation and collection service using proprietary software to evaluate, analyze and collect service data; software as a service (SAAS) services featuring software using machine learning for acoustic feature analysis, facial expression analysis, and clinical decision support in the field of behavioral health, mental health, and medication response monitoring; providing medical and scientific research information in the field of clinical trials; scientific research in the nature of conducting clinical trials for others in the field of behavioral health, mental health, and patient-reported outcomes for prescribed medication regimens.
Providing news and information in the field of behavioral, mental, and wellness health; providing information in the field of behavioral, mental, and wellness health via a website; providing on-line information in the field of mental health; providing mental health and wellness information via social media websites; health care services, namely, providing a database in the field of behavioral health, mental health, and wellness information and featuring inputting and collection of data and information all for treatment and diagnostic purposes.
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. Healthcare providers must be licensed and in good standing in their jurisdiction.
Minor access exception: Users under 18 years of age may access the Service only pursuant to applicable law and with verifiable parental or legal guardian consent, or where a minor is authorized to consent to their own care under applicable law (including, in Connecticut, Connecticut General Statutes § 19a-14c governing minors seeking outpatient mental health services). Where applicable law permits minor access, that access is governed by separate minor consent documentation executed at the time of onboarding, which supersedes the general age of majority requirement to the extent permitted by law.
You control how your data is shared. The Service provides patient-initiated sharing controls allowing you to grant or revoke access to healthcare providers and to opt in or out of anonymized and de-identified research data contributions. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOODTRACE HEALTH INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MOODTRACE HEALTH INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL MOODTRACE HEALTH INC.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

These Terms and any disputes arising from or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Connecticut, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding arising under these Terms that is not subject to arbitration under Section 9 shall be brought exclusively in the federal or state courts located in Hartford County, Connecticut, and the parties hereby consent to personal jurisdiction and venue therein.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation within thirty (30) days shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, except as provided below.
Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
Arbitration shall be conducted in Hartford County, Connecticut, or via video conference if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Nothing in this section prevents you from filing a complaint with applicable regulatory authorities, including state healthcare regulators, the Office for Civil Rights (OCR), or the Connecticut Department of Public Health.
We may update these Terms from time to time. Material changes will be communicated in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

The MoodTrace patient app is free — there is no charge, no advertising, and no sale of your data, ever. Paid subscriptions apply only to healthcare practices, which pay a flat per-seat fee. Practice subscriptions are billed in advance on a recurring basis through our payment processor and renew automatically until cancelled.
A practice may cancel at any time from its account settings or by writing to billing@moodtracehealth.com. Cancellation takes effect at the end of the current billing period; access continues through the period already paid. Except where required by law, fees already paid are not refunded for partial billing periods. If we materially reduce the Service during a period you have paid for, contact us and we will work with you on a fair resolution.
